Conditions of Sale

These conditions of Sale are deemed to he included in every Contract of Sale entered into by the Company unless expressly excluded or varied in writing on behalf of the Company. In these Conditions "The Company" means H N Supplies.

1. The Company guarantee that goods are free from defects due to defective material and workmanship only.

2. Any performance figures given by the Company are those we would expect to obtain and are based upon our experience but the Company does not give any warranty express or implied in connection therewith and any failure of the goods to be fit for purpose for which they are required in capacity or performance is the sole responsibility of the Buyer.

3. The Company accepts no responsibility for the accuracy of patterns. drawings. particulars or specifications supplied by the Buyer.

4a. In the interest of progressive improvement of desigus. specifications, illustrations, data or drawings submitted with estimates or quotations are not binding as to accuracy and shall not form part of the Contract.

4b. All specifications, data and drawings submitted are confidential.

5. Quotations and prices are made in good faith but are subject to correction for error.

6a. The dates for delivery stated are given in good faith but the Company accepts no liability in the event of their being exceed

6b. In particular the Company accepts no responsibility or liability for delay in delivery in whole or in part caused by lockouts, strikes, fires, tempests. accidents to machinery, wars or by any Statutory Rule Order Regulation or requisition of any Government Department or Body or other Authority or by any cause whatsoever beyond our control or of an unexpected or exception nature.

6c. In the event of delivery being delayed for any cause whatsoever and not for an unreasonable period the obligation of the Buyer to purchase the goods shall be deemed to stand.

6d. The dates for delivery stated are given on the understanding that all data, specifications, drawings and information required to enable us to proceed forthwith with the contractural obligations are in our hands at the time of placing the order and the subsequent modifications to requirements shall call for re-negotiation of such delivery dates.

6e. Subject to the Company’s approval of credit for the Buyer, terms for payment are nest - thirty days. Interest will be charged on overdue accounts at the rate of 2°o per month or part of the month commencing from the last day of the month following the month of delivery. Credit facilities can be offered or withdrawn at the sole discretion of the Company. The Company will not be obliged to give reasons for withdrawal of credit facilities.

6f. If the Buyer shall fail to make a payment as stated above or being an incorporated Company shall have a Receiver appointed or shall pass a resolution for winding up or a Court shall make an order to that effect or not being an incorporated Company shall have a Receiving Order made against him or enter into any composition or arrangements with his creditors of if there shall be any breach by the Buyer of any of the Conditions of Contract the Conspany may without any prejudice to the Company’s other rights and remedies cancel or refuse to make deliveries or further deliveries hereunder.

6g. Material should be checked against the packing note and damages or shortages must be reported within thirty-six hours otherwise no claims will he entertained.

7. Order are only accepted subject to these Conditions of Sale and not those in the Buyers documents.

8a. Ihe Contract shall in all respects be construed as an English contract and in conformity with English law, and the Buyer shall be subject to the jurisdiction of the English Courts.

8b.  Any difference in interpretation of these Conditions of Sale shall be refereed to the decision of an Arbitrator in London, England, under the provisions of the Arbitration Act 1950, or any subsequent similar enactment in force.

9.  The ownership of the material to be delivered will only be transferred to the purchaser when he has met all that is owing to H N Supplies.

10. The Company will not accept any surplus material for credit purposes.

11. Order and contracts placed in accordance with this quotation are accepted by us only upon and subject to our Standard Conditions of Sale and unless expressly accepted by us in writing any conditions contained in a Customer’s order form which conflicts with these conditions, shall not be applicable. Orders based on quotation will not he binding until duly accepted by us in writing.

12. Part Shipment - we reserve the right to make part shipment and to despatch and invoice separately ancillary equipment.

13. If an order is cancelled the Purchaser will pay for the loss incurred by the Company.

14. If the Purchaser is unable to receive goods ordered, the price will still he payable to the Company.

15. The Company will not be responsible for any damage or loss suffered by the Purchaser or third parties following installation of the goods sold by the Company.

16. "All terms, conditions and warranties (whether implied or made expressly) whether by the Company or its servants or agents or otherwise (other than those express warranties set out in the current edition of the Company’s specification) relating to the quality and/or fitness for purpose of the Goods or any of the Goods are excluded"
